Welcome to Bonfire! These Terms of Service (“Terms”) govern your use of Bonfire SEO, LLC (“Bonfire,” “we,” or “us”) and our managed services, including Google Business Profile optimization, review management, directory listings, websites, reporting, and related local SEO (the “Services”). By signing up or using our Services, you agree to these Terms.
1. Scope of Services
Bonfire provides managed services including Google Business Profile optimization, review collection and responses, directory listings, websites, reporting, and related local SEO. We may use third-party tools and platforms (such as Google, Yelp, Facebook, or software partners) to deliver these Services.
We are not a do-it-yourself software company. Our Services are provided on a done-for-you basis..
2. What We Don’t Guarantee
- We cannot guarantee specific placement in search results. Rankings depend on factors outside our control, including algorithms, competitors, and user location.
- We cannot remove legitimate negative reviews or guarantee that flagged reviews will be taken down.
- We are not responsible for interruptions, outages, or policy changes in third-party platforms.
- Bonfire is an independent service provider. We are not affiliated with, endorsed by, or an official partner of Google, Yelp, Facebook, or any other third-party platform.
- We are not responsible for the suspension of a Google Business Profile or any other account.
3. Your Responsibilities
- Provide accurate and up-to-date business information.
- Comply with applicable laws and third-party platform policies.
- Use our Services only for lawful business purposes.
4. Payments & Renewals
- Services are billed monthly and automatically renew unless canceled.
- Trials, unless otherwise noted, automatically renew into paid subscriptions at the end of the trial period. You will be notified before any charges occur.
- Fees may be changed with at least 30 days’ notice, effective at the start of your next billing cycle.
- You may cancel anytime by providing written notice before your next billing cycle. We do not issue refunds for partially used billing periods.
- Failure to make timely payments may result in suspension or termination of Services.
- Bonfire is not responsible for recurring charges related to third-party services not billed directly by us, such as hosting, domains, or advertising platforms.
5. Intellectual Property
- Content we create for you (such as websites, review replies, or listing updates) becomes yours upon full payment.
- Bonfire’s proprietary tools, methods, branding, and materials remain our exclusive property. You may not copy, resell, or misuse them.
6. Client Content Responsibility
You are responsible for all content, images, logos, and materials you provide to Bonfire. By providing such content, you represent that you own it or have the necessary rights to use it. Bonfire is not responsible for verifying ownership and will not be liable for any claims related to intellectual property infringement, accuracy, or legality of client-provided content.
7. Third-Party Costs
Unless specifically included in your plan, you are responsible for fees paid directly to third parties, including but not limited to domain registrations, hosting services, advertising costs, and premium plugins or stock photos. Bonfire is not responsible for managing payments or renewals for these third-party services unless agreed in writing.
8. Delays
Bonfire’s ability to deliver Services depends on your timely cooperation, including providing requested information, approvals, and access. We are not responsible for delays in performance or missed deadlines caused by your failure to provide such cooperation.
9. Data & Privacy
- We may access, store, and process information you provide to deliver Services.
- We do not sell or share your customer data.
- Use of our Services is also subject to our Privacy Policy.
10. Limitation of Liability & Disclaimer of Warranties
OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, BONFIRE SEO, LLC AND ITS AFFILIATES ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, DATA, OR REPUTATION.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED THE FEES YOU PAID US IN THE THREE (3) MONTHS PRIOR TO THE CLAIM.
11. Indemnification
You agree to defend, indemnify, and hold harmless Bonfire SEO, LLC, its officers, employees, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:
- Your use of the Services,
- Your violation of these Terms, or
- Your violation of any third-party rights.
12. Force Majeure
Bonfire will not be liable for delays or failures caused by events beyond our reasonable control, including natural disasters, internet outages, labor disputes, or government actions.
13. Publicity
Unless you notify us otherwise in writing, you grant Bonfire the right to use your business name, logo, and non-confidential project information in marketing materials, case studies, portfolios, and on our website. This may include displaying screenshots, testimonials, or results we have helped you achieve.
14. Independent Contractor Relationship
Bonfire is an independent contractor. Nothing in these Terms creates an agency, partnership, or employment relationship between you and Bonfire.
15. Governing Law & Arbitration
These Terms are governed by the laws of the State of Illinois. Any disputes will be resolved through binding arbitration in Cook County, Illinois, under the rules of the American Arbitration Association. You and Bonfire waive the right to a jury trial or class action.
16. Changes to Terms
We may update these Terms at any time. Updated Terms will be posted on our website. Continued use of our Services means you accept the changes.
